Contract For Services (this “Agreement”)
1. Names This agreement is between ("Client") specified in online form, and LebanonPa.com ("Contractor"). 2. Services to be Performed Contractor agrees to perform the following services for Client: Provide advertising on LebanonPa.com beginning on date of form completion and electronic payment. Client must notify Contractor at least 60 days prior to ending subscription date for cancellation. Contractor has right to send out invoice 60 days prior, however, Client is not required to pay. Failure of payment on or before subscription end date will give Contractor right to discontinue service. 3. Payment Client will pay Contractor amount specified in online form. 4. Releases Client shall provide all necessary copyright permissions and privacy releases for materials included in the Work Product at Contractors request. It is the Clients responsibility to uphold that all materials given to the Contractor have been given the proper right to use. 5. Additional Agreements Client and Contractor additionally agree that: Contractor reserves the right to use Client's logos, trademarks, and copyrights for any advertisement listed on LebanonPa.com. By signing this Agreement the Client agrees to allow Contractor to disclose information about the Client's business on the site. The Client also agrees that any messages on LebanonPa.com are not meant to degrade their company, competitors, or substitute products and services. In the event the website fails to work properly, all services will be extended by the number of days services failed to perform. 6. Entire Agreement This is the entire agreement between the parties. It replaces and supersedes any and all oral agreements between the parties, as well as any prior writings. 7. Successors and Assignees This agreement binds and benefits the heirs, successors and assignees of the parties. Any cost of collections, such as Attorney fees, shall be the responsibility of the client. 8. Governing Law This agreement will be governed by and construed in accordance with the laws of the state of Pennsylvania. 9. Counterparts The parties may sign several identical counterparts of this agreement. Any fully signed counterpart shall be treated as an original. 10. Modification This agreement may be modified only by a writing signed by the party against whom such modification is sought to be enforced. 11. Waiver If one party waives any term or provision of this agreement at any time, that waiver will be effective only for the specific instance and specific purpose for which the waiver was given. If either party fails to exercise or delays exercising any of its rights or remedies under this agreement, that party retains the right to enforce that term or provision at a later time.
